Welcome to Rezziva. These Terms of Use ("Terms") govern your access to and use of the Rezziva website, platform, booking services, and related services (collectively, the "Platform").By accessing the Platform, creating a reservation, submitting a booking request, listing transportation services, or otherwise using Rezziva, you agree to these Terms.If you do not agree to these Terms, you should not use the Platform.1. About RezzivaRezziva provides an online marketplace that allows individuals and organizations seeking transportation ("Customers") to discover, compare, request, reserve, and book transportation services.Transportation services available through Rezziva may be provided by:independent transportation companies, vehicle operators, charter companies, or other third-party providers ("Operators"); orRezziva or an affiliated entity directly.The party responsible for providing a particular transportation service may vary by reservation. Information presented during the booking process, reservation confirmation, or other communications may identify the applicable transportation provider.When transportation is provided by an independent Operator, that Operator is responsible for performing the transportation service. Except where expressly stated otherwise, Rezziva's role with respect to such services is to facilitate the connection and transaction between the Customer and Operator.2. EligibilityYou must be at least 18 years old and legally capable of entering into a binding agreement to make a reservation through Rezziva.If you make a reservation on behalf of another person, business, group, or organization, you represent that you have authority to accept these Terms on their behalf.The person making the reservation is responsible for providing accurate information and communicating applicable reservation requirements to the passengers traveling under the reservation.3. Transportation ListingsTransportation listings may include information regarding vehicles, passenger capacity, availability, service areas, amenities, estimated travel times, pricing, photographs, and other details.Rezziva attempts to provide accurate information but does not guarantee that all third-party Operator information is complete, current, or error-free.Vehicle photographs may be representative. Unless specifically guaranteed in writing, the exact vehicle used for a reservation may differ from photographs displayed on the Platform while providing substantially similar passenger capacity and service.Availability displayed through the Platform is not guaranteed until a reservation has been confirmed.4. Booking Requests and ReservationsSubmitting a booking request does not necessarily create a confirmed reservation.A reservation becomes confirmed when the Customer receives confirmation from Rezziva or the applicable Operator indicating that the transportation service has been accepted or scheduled.Customers are responsible for reviewing reservation information before submitting a booking, including:pickup location;destination;pickup and arrival dates and times;number of passengers;round-trip or one-way selection;vehicle selection;pricing;deposits;and any special instructions.Customers must promptly notify Rezziva or the applicable Operator if reservation information is incorrect.5. PricingPrices displayed through Rezziva may be based on factors including distance, estimated travel time, vehicle type, passenger count, service location, availability, tolls, parking, waiting time, special requests, and other transportation-related costs.Prices may be estimates until a reservation is confirmed.Additional charges may apply when circumstances differ materially from the information provided during booking, including:additional stops;route changes;extended waiting time;additional mileage;overtime;parking fees;tolls;cleaning fees;damage;or other Customer-requested changes.Any applicable taxes, service fees, booking fees, or other charges may be presented during checkout or communicated before confirmation.6. Deposits and PaymentDepending on the reservation, Rezziva may require:a deposit;partial payment;full payment at booking;payment before the scheduled transportation date;or payment directly to the Operator.Payment instructions applicable to the reservation will be provided during booking or in the reservation confirmation.When Rezziva processes payment, the Customer authorizes Rezziva and its payment-processing providers to charge the selected payment method for amounts associated with the reservation.When payment is made directly to an independent Operator, that Operator may establish additional payment requirements, provided they are disclosed to the Customer.Customers remain responsible for all legitimate amounts associated with their reservation.7. Cancellations and RefundsCancellation and refund terms may vary depending on the transportation provider, vehicle, route, and reservation.The cancellation policy applicable to a reservation should be displayed during booking, included in the reservation confirmation, or otherwise communicated to the Customer.Unless otherwise stated in the applicable cancellation policy, cancellation fees may apply.Certain deposits, booking fees, or other charges may be non-refundable where disclosed before purchase.Failure to appear at the designated pickup location at the scheduled time may be considered a no-show and may result in forfeiture of amounts paid.If an Operator cancels a confirmed reservation and suitable replacement transportation cannot be arranged, the Customer will generally be entitled to a refund of amounts paid for transportation that was not provided, subject to any applicable terms communicated for the reservation.8. Customer ChangesChanges to a confirmed reservation are subject to availability.Changes to pickup locations, destinations, dates, times, passenger counts, vehicles, routes, or other reservation details may result in additional charges.Rezziva and Operators are not obligated to accommodate changes that cannot reasonably be fulfilled.9. Pickup Times and DelaysCustomers are responsible for being present at the designated pickup location at the scheduled pickup time.Transportation schedules can be affected by circumstances outside the reasonable control of Rezziva or an Operator, including traffic, road closures, weather, accidents, mechanical issues, passenger delays, public events, government actions, and other unforeseen circumstances.Estimated pickup, travel, and arrival times are not guarantees unless expressly agreed otherwise in writing.Customers should allow appropriate additional travel time when transportation relates to flights, events, appointments, cruises, or other time-sensitive activities.10. Passenger ConductPassengers must behave in a safe and lawful manner.Passengers may not:interfere with the driver;engage in threatening, abusive, violent, or unlawful conduct;intentionally damage a vehicle;carry prohibited or dangerous materials;exceed the vehicle's authorized passenger capacity;or create conditions that make transportation unsafe.Drivers and Operators may refuse or discontinue transportation when they reasonably believe passenger behavior presents a safety risk or violates applicable law.Refunds may not be provided when transportation is refused or terminated because of passenger misconduct.11. Damage and CleaningCustomers may be financially responsible for damage caused by themselves or members of their party to a vehicle or other property.Additional cleaning charges may apply when excessive cleaning is required due to passenger conduct, spills, bodily fluids, smoking, or other circumstances beyond ordinary vehicle use.Where permitted by law, Customers authorize the applicable provider to charge reasonable documented damage or cleaning costs to the payment method associated with the reservation.12. Luggage and Personal PropertyPassengers are responsible for ensuring that the selected vehicle can reasonably accommodate their passengers, luggage, equipment, or other belongings.Rezziva and Operators are not responsible for personal property left in a vehicle except to the extent liability cannot legally be excluded.Customers should contact Rezziva or the applicable Operator as soon as possible regarding lost property.13. Third-Party OperatorsIndependent Operators available through Rezziva are separate businesses and are not employees of Rezziva solely because they use or receive reservations through the Platform.Operators are responsible for complying with laws and requirements applicable to their transportation services, including applicable licensing, vehicle registration, inspections, insurance, driver qualifications, and operating authority.Rezziva may establish eligibility requirements for Operators and may request documentation regarding these requirements.However, except where required by law or expressly stated otherwise, Rezziva does not control the day-to-day operation of independent Operators.14. When Rezziva Provides TransportationCertain transportation services may be provided directly by Rezziva or an affiliated transportation provider.When Rezziva is identified as the transportation provider, provisions of these Terms relating solely to independent Operators will not apply to the extent they are inconsistent with Rezziva acting as the direct transportation provider.The reservation confirmation or related booking information may identify the provider responsible for the transportation service.15. Operator TermsOperators that list or fulfill transportation services through Rezziva agree to:provide accurate information about their vehicles and services;maintain required licenses, permits, registrations, and operating authority;maintain legally required insurance;use appropriately qualified drivers;maintain vehicles in safe operating condition;honor confirmed reservations unless cancellation is reasonably necessary;promptly communicate delays, cancellations, or material changes;comply with applicable transportation, safety, accessibility, and consumer-protection laws;and provide transportation professionally and safely.Rezziva may suspend or remove an Operator from the Platform when Rezziva reasonably believes the Operator has violated these Terms, created a safety concern, provided materially inaccurate information, or otherwise created an unacceptable risk to Customers or the Platform.16. Platform Service FeesRezziva may charge Customers or Operators service fees, booking fees, commissions, processing fees, or other Platform-related charges.Applicable fees may vary by reservation and may be disclosed during booking, in an Operator agreement, or through other applicable pricing terms.17. Payment ProcessingPayments processed through Rezziva may be handled by third-party payment processors.Use of payment-processing services may be subject to additional terms and privacy policies established by those providers.Rezziva does not independently store certain complete payment-card information when that information is handled directly by a payment processor.18. Prohibited Use of the PlatformYou may not use Rezziva to:violate applicable law;submit fraudulent reservations;provide false or misleading information;interfere with Platform operation;attempt unauthorized access to Rezziva systems;scrape or systematically extract Platform information without authorization;impersonate another person or business;circumvent applicable fees;or use the Platform for fraudulent, abusive, or harmful purposes.Rezziva may suspend or terminate access to the Platform for violations of these Terms.19. Intellectual PropertyThe Rezziva name, branding, website design, software, graphics, text, and other Platform content owned by Rezziva are protected by applicable intellectual-property laws.Except as expressly permitted, users may not reproduce, distribute, modify, sell, license, or commercially exploit Rezziva-owned Platform content without written permission.Operators retain ownership of content they provide to Rezziva but grant Rezziva a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, and distribute that content as reasonably necessary to operate, promote, and market the Platform and their transportation listings.20. Third-Party Websites and ServicesThe Platform may contain links to or integrations with third-party websites, payment providers, mapping services, communication tools, or other services.Rezziva is not responsible for third-party websites or services that it does not control.Use of third-party services may be governed by separate terms and privacy policies.21. Disclaimer of WarrantiesTO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.REZZIVA DOES NOT GUARANTEE THAT THE PLATFORM WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.WITH RESPECT TO TRANSPORTATION PROVIDED BY INDEPENDENT OPERATORS, REZZIVA DOES NOT GUARANTEE THE CONDUCT, PERFORMANCE, QUALITY, SAFETY, OR SUITABILITY OF ANY PARTICULAR OPERATOR EXCEPT TO THE EXTENT SUCH RESPONSIBILITY CANNOT LEGALLY BE DISCLAIMED.Nothing in these Terms excludes warranties or rights that cannot legally be waived.22. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REZZIVA AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE PLATFORM.WITH RESPECT TO TRANSPORTATION PROVIDED BY AN INDEPENDENT OPERATOR, REZZIVA WILL NOT BE LIABLE FOR THE ACTS OR OMISSIONS OF THAT OPERATOR EXCEPT TO THE EXTENT LIABILITY IS IMPOSED ON REZZIVA BY APPLICABLE LAW.Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.23. IndemnificationTo the extent permitted by law, you agree to indemnify and hold harmless Rezziva and its affiliates, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:your violation of these Terms;your unlawful use of the Platform;information you provide through the Platform;damage caused by you or members of your party;or your violation of another person's rights.Operators may have additional indemnification obligations under their separate agreement with Rezziva.24. Force MajeureNeither Rezziva nor an applicable Operator will be responsible for failure or delay caused by circumstances beyond reasonable control, including severe weather, natural disasters, road closures, government actions, civil disturbances, labor disruptions, widespread service outages, or other events that could not reasonably have been prevented.This provision does not eliminate refund or other rights that cannot legally be waived.25. PrivacyUse of Rezziva is also subject to the Rezziva Privacy Policy.By using the Platform, you acknowledge that information may be collected, used, and shared as described in the Privacy Policy, including information necessary to facilitate reservations between Customers and Operators.26. Electronic CommunicationsBy using Rezziva, you consent to receive transactional communications relating to reservations, payments, account activity, customer service, and transportation updates by email, text message, telephone, or other contact methods you provide.Marketing communications will be handled in accordance with applicable law and available opt-out mechanisms.27. Changes to These TermsRezziva may update these Terms from time to time.Updated Terms will become effective when posted to the Platform unless a different effective date is stated.Your continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.Changes will not retroactively alter material terms of an already confirmed reservation except where required by law or agreed by the parties.28. TerminationRezziva may suspend or terminate access to the Platform when a user materially violates these Terms, engages in fraudulent or unlawful activity, creates safety concerns, or misuses the Platform.Provisions that by their nature should survive termination will remain in effect, including provisions regarding payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.29. Governing LawThese Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles.Any legal proceeding that is not otherwise subject to an agreed arbitration provision shall be brought in the applicable state or federal courts located in King County, WA, and the parties consent to jurisdiction and venue in those courts, except where applicable consumer law requires otherwise.30. Dispute ResolutionBefore initiating formal legal proceedings, you agree to make a reasonable attempt to resolve a dispute by contacting Rezziva.Rezziva may establish additional dispute-resolution or arbitration procedures as permitted by applicable law.Any arbitration provision, class-action waiver, or jury-trial waiver should be separately and conspicuously presented where required by law.31. SeverabilityIf any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.32. Entire AgreementThese Terms, together with any applicable reservation terms, cancellation policy, Privacy Policy, Operator agreement, and other terms expressly incorporated by reference, constitute the agreement governing use of the Platform.Reservation-specific terms will control where they expressly conflict with general provisions of these Terms regarding that reservation.33.
